Welcome to Resort Help. These Terms of Service ("Terms") govern your access to and use of the Resort Help website located at resorthelp1.com (the "Site") and all related services offered by Resort Help ("we," "our," or "us"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

1. Description of Services

Resort Help is an independent timeshare resale marketplace that connects owners who wish to sell their timeshare interests with prospective buyers. We are not a resort developer, resort management company, or affiliated with any timeshare developer. We do not guarantee the sale of any timeshare listing, and results may vary based on market conditions, pricing, resort brand, and other factors.

2. Eligibility

You must be at least 18 years of age to use this Site. By using the Site, you represent and warrant that you are 18 or older and have the legal capacity to enter into binding agreements. If you are submitting information on behalf of a business or organization, you represent that you have authority to bind that entity to these Terms.

3. Listing Services

When you submit a timeshare listing through our Site, you agree to the following:

• All information you provide is accurate, complete, and not misleading.
• You are the legal owner of the timeshare interest or have authority to list it for sale.
• The timeshare is free of undisclosed liens, encumbrances, or legal disputes that would prevent transfer.
• You will promptly notify us of any changes to the listing information or ownership status.
• Resort Help reserves the right to decline, remove, or modify any listing at our sole discretion.

4. No Upfront Fees Policy

Resort Help does not charge upfront listing fees to sellers. Our compensation structure is disclosed during your listing consultation. Any fees associated with closing, title transfer, or third-party services are separate and will be clearly communicated prior to any transaction. Be cautious of any third party claiming to represent Resort Help and requesting advance payment — we will never ask for upfront payment to list your property.

5. Buyer Responsibilities

If you are using the Site as a prospective buyer, you acknowledge and agree that:

• You will conduct your own due diligence before making any offer or completing any purchase.
• Resort Help does not guarantee the accuracy of listing information provided by sellers.
• Timeshare resale values are subject to market conditions and may differ significantly from original purchase prices.
• You are responsible for understanding the ongoing financial obligations (maintenance fees, special assessments, etc.) associated with any timeshare you purchase.
• All offers are subject to seller acceptance and are not binding until a formal purchase agreement is executed.

6. No Guarantees

Resort Help makes no guarantee that any timeshare listing will sell, that a specific sale price will be achieved, or that a transaction will close within any particular timeframe. Market conditions, resort policies, buyer availability, and other factors outside our control affect outcomes. Any estimates of value or sale timelines provided by our specialists are informational only and do not constitute a guarantee.

7. Prohibited Conduct

You agree not to use the Site to:

• Submit false, misleading, or fraudulent information
• Impersonate any person or entity
• Violate any applicable local, state, national, or international law
• Transmit any unsolicited commercial communications (spam)
• Attempt to gain unauthorized access to any portion of the Site or its systems
• Interfere with or disrupt the integrity or performance of the Site
• Scrape, harvest, or collect data from the Site without our written permission

8. Intellectual Property

All content on this Site — including text, graphics, logos, images, and software — is the property of Resort Help or its content suppliers and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any content on this Site without our prior written consent.

9. Disclaimer of Warranties

THE SITE AND ALL SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. RESORT HELP DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, RESORT HELP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO RESORT HELP IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Resort Help and its officers, directors, employees, agents, and successors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your use of the Site, your violation of these Terms, or your violation of any rights of another party.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Nevada, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Clark County, Nevada.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. We will post the updated Terms on this page with a revised effective date. Your continued use of the Site after any changes constitutes your acceptance of the new Terms. We encourage you to review these Terms periodically.
